Terms of Service

By accessing or using Reputation Scorecard ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you ("Member") and CISO Assurance Ltd, trading as Reputation Scorecard ("we", "us", "our"), a company incorporated under Irish law.

We reserve the right to modify these Terms at any time. Continued use of the Service after notice of changes constitutes acceptance of the revised Terms.

To access certain features of the Service, you must register for an account. By creating an account, you agree that:

• You are at least 18 years of age or the age of majority in your jurisdiction
• You will provide accurate, current, and complete information during registration
• You will maintain the security of your password and accept responsibility for all activity under your account
• You will promptly notify us of any unauthorised use of your account at security@reputationscorecard.ai
• You will not create more than one account per individual or share account credentials with others
• You are responsible for ensuring your use complies with all applicable laws in your jurisdiction

We reserve the right to terminate or suspend accounts that violate these Terms, provide false information, or engage in activities that harm the Service or other members.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to research individuals without a legitimate, lawful purpose
• Attempt to circumvent any security measures or access controls
• Scrape, harvest, or systematically extract data from the Service
• Use the Service to harass, stalk, or investigate individuals without their consent
• Attempt to reverse-engineer the scoring algorithm or AI models
• Resell, sublicense, or commercially exploit Service outputs without written permission
• Introduce malicious code, viruses, or other harmful material
• Misrepresent your identity or affiliation when using the Service

The Service and all of its contents, including but not limited to the software, algorithms, scoring methodology, design, text, graphics, and trademarks, are owned by CISO Assurance Ltd or its licensors and are protected by EU and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your personal, non-commercial use in accordance with these Terms.

Your Content: You retain ownership of any content you submit to the Service (e.g., your CV, bio, or profile information). By submitting content, you grant us a limited licence to process it for the purpose of generating your reputation score and related services.

Report Outputs: Reputation reports generated for you are licensed to you for personal use. Commercial redistribution requires our prior written consent.

Certain features of the Service require a paid subscription. By subscribing, you agree to the following:

• Billing: Subscriptions are billed in advance on a monthly or annual basis.
• Automatic renewal: Subscriptions auto-renew unless cancelled before the renewal date.
• Cancellation: You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; the Service remains available until that date and no further charges occur. No refunds are issued for the current period or any prepaid periods.
• No refund policy: All paid subscriptions are non-refundable. If you wish to stop paying, cancel through your account settings; you retain access until the end of the current billing period and will not be charged again.
• Price changes: We will provide at least 30 days notice of any price changes. Continued use after the effective date constitutes acceptance.
• Taxes: Prices are exclusive of VAT/GST where applicable. You are responsible for all applicable taxes.

Either party may terminate the agreement at any time.

Termination by you: Delete your account through account settings. Termination does not entitle you to a refund for any prepaid period.

Termination by us: We may suspend or terminate your access immediately, without prior notice, if we determine that you have violated these Terms, engaged in illegal activity, or posed a risk to the Service or other members.

Effect of termination: Upon termination, your right to use the Service ceases immediately. We will delete your personal data within 30 days in accordance with our Privacy Policy, subject to any legal retention obligations.

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or that reputation scores are perfectly accurate.
• Our total liability to you for any claims arising from use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.

Nothing in these Terms limits liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) any liability that cannot be excluded by law.

These Terms are governed by and construed in accordance with the laws of Ireland and the European Union, without regard to conflict of law principles.

If you are a consumer in the EU, you may also rely on the mandatory consumer protection laws of your country of residence.

The courts of Ireland shall have exclusive jurisdiction to resolve any disputes arising from or relating to these Terms, subject to any mandatory local consumer protection rights.

We are committed to resolving disputes fairly and efficiently. Before initiating formal proceedings, please contact us at legal@reputationscorecard.ai to attempt informal resolution.

EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

We may revise these Terms at any time. When we make material changes, we will notify you by email and display a prominent in-app notice at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms.
